Is it better to set up a company via S24 or before a notary?+

It depends on your needs. Registration in the S24 portal is quick and cheaper, based on a template agreement and a signature with a trusted profile or e-ID - it works well for a simple, typical company. A notary is sometimes necessary for a bespoke agreement or non-cash contributions (in-kind contributions). What is the minimum share capital of an LLC?+

The minimum share capital of an LLC is usually PLN 5,000, and the lowest value of a single share is PLN 50. The capital can be covered by a cash contribution or an in-kind contribution. The specific amounts and rules are worth confirming for your situation - during a consultation we will explain how to set the capital and divide the shares between partners.

What filings must be made after registering the company?+

After the KRS entry the company files supplementary data on form NIP-8 (including bank account numbers and contact details), and where needed registers for VAT via VAT-R. It must also report the beneficial owner to the CRBR within the statutory deadline. We will help make sure of these formalities so the company can start its activity legally and calmly.

What is the CRBR filing and does it apply to me?+

The CRBR is the Central Register of Beneficial Owners. An LLC has an obligation to report the people who actually control it, within the deadline set in the rules after registration in the KRS. Missing the filing risks penalties. We will remind you of this obligation and help prepare the filing, so you do not have to keep track of it yourself at the last minute.

Which CIT form should I choose for a new LLC?+

The options include the lower CIT rate for small taxpayers, the standard rate and the Estonian CIT, under which tax is paid mainly when profit is distributed, but also on an ongoing basis on so-called hidden profits and on expenses unrelated to business activity. The choice depends on planned revenue, costs and whether you intend to distribute profit. Must an LLC keep full accounts?+

Yes. An LLC keeps full accounts - accounting records, ledgers, CIT and VAT returns and an annual financial statement.
