Set up a foundation or association the smart way

Are you planning to set up a foundation or association and wondering where to start - how to frame the statutory aims, what founding fund to set, how many members are needed and how to get through registration in the KRS? That is natural, because a new organisation means a fair amount of formalities, and the decisions made at the outset - the shape of the articles, the make-up of the bodies, or whether the NGO will run a business - affect its obligations for years to come. At Luno-Group an experienced accountant who knows the organisation-registration process will guide you through it and knows how to set up the bookkeeping of a foundation or association so that it works correctly from day one - we do not leave you with an app and a manual, we genuinely help.

Our accounting firm for NGOs combines support in setting up the organisation with keeping its books online. We will help fine-tune the articles and statutory aims, point out the differences between a foundation and a registered or ordinary association, explain the matter of the founding fund and the required number of members, and make sure of the NIP and REGON filings after the KRS entry. We will explain the rules for an organisation running a business, and then keep the books online - you hand over documents through the Client panel, and we can communicate in Polish or English. So that your foundation's or association's online bookkeeping is one of your smaller worries.

Who is this accounting service for?

Founders of a first foundation or association

People setting up an organisation for the first time, who want to understand the differences between a foundation and an association, the point of the founding fund and the required number of members, before filing the application with the KRS.

Grassroots groups and community activists

Teams joining forces around a shared cause - culture, education, sport or aid - who care about correct articles, a clear make-up of bodies and orderly bookkeeping from the very start.

Founders who speak English

People setting up a foundation or association in Poland who prefer to communicate in English and need an accounting firm that explains the formalities and rules in a language they understand.

How do we help with setting up?

Articles and statutory aims

We help put the articles and statutory aims of the organisation in order, so that they are consistent, compliant with the rules and do not block its later activity.

Legal form and bodies

We explain the differences between a foundation, a registered association and an ordinary association, and help establish the make-up of the bodies - the management board and the supervisory body.

Founding fund and members

We explain how to set a foundation's founding fund and how to gather the required number of members for an association, and what each form involves.

Registration in the KRS

We prepare the organisation for the entry and help it get through registration in the National Court Register, putting together the documents needed.

NIP and REGON filings

After the KRS entry we help make sure of the NIP and REGON filings and the remaining formalities, so the organisation can lawfully start its activity.

First bookkeeping and reports

We set up the NGO's bookkeeping and first reporting obligations from the start - depending on whether the organisation operates only statutorily or also runs a business.

Why do new NGOs choose Luno-Group?

Because we combine convenience with competence. We run the whole process of setting up a foundation or association and the later bookkeeping online - you hand over documents and information through the Client panel, with no office visits or carting around of binders. At the same time your organisation is handled by an experienced accountant who knows the KRS registration process, understands the differences between a foundation, a registered association and an ordinary association, and knows how to set up the NGO's bookkeeping and first reports from the start. This is an accounting firm that keeps your organisation's books reliably - whether it carries out purely statutory activity or also runs a business. We communicate in Polish or English, so we can help founders who speak one of these languages without a language barrier.

Frequently asked questions

Before you set up a foundation or association.

What is the difference between a foundation and an association?+

In simple terms, a foundation is based on assets earmarked for a cause by the founder and acts through appointed bodies. An association is formed by people around a shared cause and decided on jointly. An experienced accountant from Luno-Group will show you how the two forms differ in light of your plans - the decision is yours.

How many people are needed to set up an association?+

As a rule, a registered association entered in the KRS is usually set up by at least 7 people, while a simplified ordinary association needs at least 3. The requirements are worth confirming for the specific case and the current rules. We will explain the differences between the two forms - the decision is yours.

Does setting up a foundation require a founding fund?+

Yes, a foundation is created on the basis of assets earmarked by the founder for pursuing the cause, that is, the founding fund. Its amount depends, among other things, on whether the organisation intends to run a business. The figures are worth confirming for your situation - we will help set the fund and record it correctly.

What does registering a foundation or association in the KRS look like?+

After preparing the articles and establishing the bodies and the fund or member list, an application for entry in the National Court Register is filed together with the documents. After registration the organisation obtains a NIP and REGON. We will help put the documents together and make sure of the filings in line with the rules.

Must a foundation or association keep accounts?+

Yes. Non-governmental organisations keep accounts and have reporting obligations from the start, even if they do not yet run a business. The scope depends on the form and scale of activity. Luno-Group will set up your NGO's bookkeeping online, in Polish or English, from day one.

Can a foundation or association run a business?+

As a rule, yes - alongside its statutory activity an organisation can run a business whose income serves its aims. This brings additional obligations, including registration and accounting ones. We will explain the effects of such a decision in your case, and how it affects the bookkeeping.
