What is the difference between suspending and closing a business?+

Suspension is a temporary halt of the business without winding it up - during that time you pay no ZUS contributions as a rule, and you can resume later. Closure is a permanent end to the activity and removal of the entry from CEIDG. During a consultation we will explain the obligations attached to each step, but which path to take depends on your situation and your decision.

Is removing the business from CEIDG enough to close it?+

No. Removal from CEIDG is just one element. On closure you also have to deregister from ZUS (the ZWUA form), draw up the closing stocktake, settle VAT on the physical inventory, prepare the schedule of assets, file the final returns and JPK files, and arrange document retention. We will walk you through all these steps in order.

What are the closing stocktake and VAT on the physical inventory?+

The closing stocktake is a physical inventory of the goods, materials and equipment remaining in the business on the date activity ends. On such an inventory, in line with Article 14 of the VAT Act, an active VAT payer settles tax as a rule. We will draw up the stocktake, establish the values and prepare the VAT settlement so this part of the closure is wrapped up correctly.

After suspending, do I have to file returns and pay ZUS?+

During suspension you do not, as a rule, pay ZUS contributions for yourself and usually do not file current returns if you carry out no sales. There are exceptions, however, for example for transactions settled during the suspension. We will review your situation and set out which obligations fall away and which remain - without telling you whether or not to suspend.

How long must documents be kept after closing a business?+

Accounting and tax documents are, as a rule, kept until the limitation period expires, which is 5 years counted from the end of the year in which the tax payment deadline fell (longer if that period is suspended or interrupted). Copies of ZUS returns and reports are kept for 5 years from the date they were filed, and employee records longer - as a rule 10 years from the end of the year in which the employment ended - if you had employees. We will explain which documents must be kept and for how long, so that you can rest easy after closure in the event of an inspection.
